1. Agreement to Terms

Welcome to Orbitx Capital ("we," "us," "our," "Platform," or "Company"). These Terms and Conditions ("Terms" or "Agreement") form a legally binding contract between you ("you," "your," or "User") and Orbitx Capital, governing your access to and use of our website, mobile applications, trading tools, and all associated services (collectively referred to as the "Services").

By creating an account, accessing the platform, or using any of our Services, you confirm that you have read, understood, and fully agree to be bound by these Terms, as well as our Privacy Policy and Cookies Policy, which are incorporated by reference.

If you do not agree to any part of these Terms, you must immediately stop using the Services and refrain from creating an account.

2. Eligibility and Account Registration

2.1 Age and Legal Capacity

To use Orbitx Capital, you must:

• Be at least 18 years old or have reached the legal age of majority in your jurisdiction
• Have full legal capacity to enter into binding contracts
• Not be prohibited from using financial or crypto-related services under Turkish or international law
• Reside in a jurisdiction where our Services are legally permitted

2.2 Restricted Jurisdictions

Our Services are not available to residents or citizens of the following jurisdictions:

• United States of America and its territories
• North Korea (Democratic People's Republic of Korea)
• Iran, Syria, Cuba, and other countries subject to OFAC sanctions
• Crimea region and other internationally sanctioned territories
• Any jurisdiction where cryptocurrency trading or CFD services are prohibited by law

By using our Services, you represent and warrant that you are not located in, controlled by, or a national/resident of any restricted jurisdiction.

2.3 Account Verification (KYC)

In accordance with Turkish Anti-Money Laundering and Counter-Terrorism Financing (AML/CTF) regulations, all users must complete identity verification. You agree to:

• Provide accurate, truthful, and up-to-date personal information
• Submit valid government-issued identification documents
• Provide proof of residential address (issued within the last 3 months)
• Update your information promptly if any details change
• Cooperate with third-party identity verification checks

Failure to complete verification within 14 days of registration may result in account suspension or permanent closure.

2.4 Account Security

You are solely responsible for:

• Keeping your login credentials confidential and secure
• All activities that occur under your account
• Immediately notifying us of any suspected unauthorized access or security breach
• Enabling two-factor authentication (2FA) wherever possible

We are not liable for any losses resulting from unauthorized access to your account caused by your failure to maintain its security.

3. Services Description

Orbitx Capital provides an advanced automated cryptocurrency trading platform that includes:

• AI-Powered Trading Automation: Intelligent algorithmic bots that execute trades based on your chosen strategies
• Strategy Marketplace (Tokenizer360): Access to professionally developed trading strategies from verified traders
• Multi-Exchange Integration: Secure API connectivity to supported cryptocurrency exchanges
• Portfolio Management Tools: Real-time analytics, performance tracking, and advanced risk management features
• Educational Resources: Tutorials, market insights, and learning materials

Important Notice: Orbitx Capital is a technology platform that provides trading automation tools and software. We are not a financial institution, broker, investment advisor, or custodian. We do not hold, custody, or control any user funds. All trading activity occurs directly on third-party exchanges that you connect to our platform.

4. Trading Risks and Financial Disclaimers

4.1 High-Risk Investment Warning

⚠️ CRITICAL WARNING: Trading cryptocurrencies and CFDs carries a high risk of financial loss and is not suitable for all investors. You may lose some or all of your invested capital. Past performance is not indicative of future results. Only invest funds you can afford to lose completely without impacting your financial stability.

4.2 No Financial Advice

No information provided on our platform constitutes financial, investment, tax, or legal advice. All content, including automated strategies, market analysis, and historical data, is for informational and educational purposes only.

You alone are responsible for your investment and trading decisions. We strongly recommend consulting qualified financial, tax, and legal professionals before engaging in cryptocurrency trading.

4.3 No Performance Guarantees

We do not guarantee or warrant:

• The profitability or success of any trading strategy
• The accuracy of AI predictions or market analysis
• Continuous or uninterrupted availability of the platform
• Compatibility with every exchange or trading pair

Cryptocurrency markets are extremely volatile. Automated trading can result in substantial losses, especially during unfavorable market conditions.

4.4 User Responsibility

By using our Services, you acknowledge and accept that:

• You trade entirely at your own risk
• You are responsible for monitoring your account and trading activity
• You understand the risks associated with automated trading
• You will not hold Orbitx Capital liable for any trading losses

5. Fees and Payments

5.1 Platform Fees

Orbitx Capital uses a subscription-based pricing model with the following tiers:

• Free Tier: Available for monthly trading volumes up to ₺50,000 (no subscription fee)
• Basic Plan: Approximately ₺750/month for volumes up to ₺350,000
• Pro Plan: Approximately ₺2,500/month for volumes up to ₺1,750,000
• Premium Plan: Approximately ₺11,000/month for unlimited volume and priority features

All prices are in Turkish Lira (₺) and may be updated with 30 days’ prior notice.

5.2 Exchange Fees

In addition to platform subscription fees, you are responsible for all fees charged by the connected cryptocurrency exchanges, including trading commissions, deposit/withdrawal fees, network (gas) fees, and slippage.

Orbitx Capital does not receive any portion of exchange fees. These are paid directly to the respective exchanges.

5.3 Payment and Refund Terms

Subscriptions are billed monthly in advance. We accept credit/debit cards, bank transfers, and selected e-wallets. Late or failed payments may result in temporary suspension of services.

Refund Policy: Subscription fees are generally non-refundable, except where required by Turkish Consumer Law. You may cancel your subscription at any time, with access continuing until the end of the paid billing period.

6. User Conduct and Prohibited Activities

You agree not to:

• Violate any applicable laws or these Terms
• Use the platform for money laundering, terrorist financing, or any illegal activities
• Create multiple accounts to bypass limits or restrictions
• Reverse-engineer, decompile, or attempt to extract our software source code
• Use unauthorized bots, scripts, or automated tools to access the platform
• Interfere with the security or proper functioning of our systems
• Misrepresent your identity or authority
• Share your account credentials with third parties
• Engage in market manipulation or fraudulent trading practices
• Transmit viruses, malware, or other harmful code

Any violation may result in immediate account termination, legal action, and reporting to the relevant authorities.

7. Intellectual Property Rights

All content, software, trademarks, logos, designs, and materials on the Orbitx Capital platform are protected by intellectual property laws and remain the exclusive property of Orbitx Capital or its licensors.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely in accordance with these Terms. You may not copy, modify, distribute, sell, sublicense, or create derivative works from any part of the platform.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY TURKISH LAW:

• Orbitx Capital and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services
• Our total liability shall not exceed the total fees you paid to us in the 12 months prior to the claim
• We are not responsible for losses caused by exchange failures, market volatility, network issues, or force majeure events

Nothing in these Terms limits liability that cannot be excluded under Turkish Consumer Law.

9. Indemnification

You agree to indemnify and hold harmless Orbitx Capital, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your violation of these Terms, applicable laws, or your use/misuse of the Services.

10. Account Suspension and Termination

10.1 Termination by You

You may close your account at any time by contacting support. Upon closure, you will lose access to the platform, though certain data may be retained as required by law.

10.2 Termination by Orbitx Capital

We may suspend or terminate your account immediately if:

• You breach these Terms or applicable laws
• Your account is involved in fraudulent or illegal activity
• You fail to complete required identity verification
• Your account remains inactive for more than 12 months
• Required by regulatory or law enforcement authorities

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms are governed by the laws of the Republic of Turkey. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11.2 Dispute Resolution

Any disputes shall first be attempted to be resolved amicably by contacting our legal team at [email protected]. If no resolution is reached within 30 days, the dispute shall be settled by arbitration under the rules of the Istanbul Arbitration Centre (ISTAC) in Istanbul, conducted in English.

11.3 Jurisdiction

Subject to the arbitration clause, you irrevocably submit to the exclusive jurisdiction of the courts of Istanbul, Turkey.

12. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be notified via email or prominent notice on the platform at least 30 days in advance. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

13. Miscellaneous

13.1 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Orbitx Capital.

13.3 Waiver

Our failure to enforce any right does not constitute a waiver of that right.

13.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to any affiliate or successor entity.
